An Filingpoint LLP is a separate legal entity that can sue or be sued in its own name. The members of the LLP are not personally liable for the debts or other liabilities of the LLP. However, the rights and duties of the partners are governed by the LLP Act, 2008 and provisions specified in the LLP Agreement.

A minimum of two persons are required to establish an LLP. There is no upper limit to the number of partners. There must be at least one designated partner who must be a natural person and at least one of the designated partners should be resident in India. If the LLP is being established by body corporates, then at least two individual nominees of the body corporate must be appointed as designated partners.

The next step is to reserve a name for the LLP by filing Form RUN-LLP with the Ministry of Corporate Affairs (MCA) along with the requisite fee. Once the name is reserved, the LLP must draft its LLP Agreement, which will define the rights, duties, and responsibilities of the partners. The LLP Agreement must adhere to the naming guidelines set by MCA.

All the designated partners and promoters of the LLP are required to provide their PAN card number, address proof, and date of birth. The residence proof can be any of the following: voter's ID, passport, driving license, utility bills not older than 2 months, or Aadhaar card. The LLP must also submit a document showing its registered office address. If the LLP is in a rented premises, a copy of the lease agreement and no objection letter from the landlord must be submitted.
