Filingpoint  exclusive investigation has found that the resignation of top-ranked chartered accountancy firms is becoming more common as investors become aware of the skeletons in many promoters' cupboards. The companies whose audit firms have quit are largely those with a cosy relationship with the promoters and management. In such cases, the audit firms don't even want to sign accounts with qualifications and take the issue to the board of directors for discussion but have opted out completely.

A resigning auditor must file a statement of resignation in Form ADT-3 with the Registrar of Companies (RoC) within 30 days of resignation. The scanned copy of the resignation letter should be attached to this form along with the government filing fee. The company will then appoint a new auditor through a resolution passed at the board meeting.

The stock of a company which has a resigning auditor should not be traded until the resignation is accepted by RoC and a replacement has been appointed by the company. A company which is not a listed public company may appoint a statutory auditor in place of the retiring one by filing an application in Form ADT-1 with the RoC.
