Filingpoint The name of a company is the most important aspect that defines the identity of the brand. Changing the name of the Company is considered as a significant amendment and carries the same legal significance as altering the Memorandum and Articles of Association. Hence, the process of changing the company name is very rigorous and time consuming. It is possible to voluntarily change the Company name but only after passing a special resolution at the EGM, obtaining approval from RoC and fulfilling all the conditions laid down by the law.

Once the board approves the proposed name the executive director or the company secretary should request for reservation of the same with MCA through RUN (Reserve Unique Name) facility. After the name is reserved a notice of extraordinary general meeting should be called for passing the special resolution for company name change and alteration of MOA and AoA. Upon successful passing of the resolution, the company should file two e-forms with the RoC.

Once the application is accepted by the ROC, they will issue an endorsement of change of name which will be effective from the date specified by them. The Registrar of Companies will also verify the documents provided and make sure that the new name is in accordance with the naming rules laid down by the Act.
